Terms of Use — AgPrecision

McGill University (“McGill”, “we”, “our”, “us”), as part of the AgPrecision research project, welcomes you to the AgPrecision platform, accessible at agriprecision.ca (the “Platform”).

The Platform is intended for people wishing to consult information about the AgPrecision project and, for registered users — primarily agricultural producers and agronomists — to plan precision trials, analyze data and view the results, browse and rent soil analysis equipment, and manage a profile, organizations and their members (“you”, “your” or “user”).

We invite you to read carefully all the terms that follow before continuing, as your access to and use of the Platform are subject to these Terms of Use.


1. Acceptance of the Terms of Use

These Terms of Use are entered into between you and McGill and govern your access to and use of the Platform as well as any content, information and services available on or through the Platform.

Each time you use the Platform, you confirm that you agree to be bound by the version of these Terms of Use then in effect and represent and warrant that you are legally authorized to accept these Terms of Use on your own behalf and on behalf of any person or entity you are deemed to represent.

To create an account and use the authenticated features of the Platform, you must be at least 18 years old.


2. Description of services

2.1 The AgPrecision platform

AgPrecision is a bilingual (French/English) web platform comprising:

  • A public showcase website presenting the AgPrecision research project, its research areas, key figures, partners, the regional map and its advisory committee;
  • An authenticated web application offering, among other things:
    • Precision trial planning: creation and management of precision agronomic trials;
    • Data analysis and results: submission of agronomic data, processing and delivery of analysis results;
    • Regional average sharing: consultation of aggregated and anonymized statistics by region;
    • Soil analysis equipment: consultation of a list of soil analysis equipment and rental of that equipment;
    • Profile management: creation and update of your profile (name, picture, language);
    • Organization management: creation and configuration of organizations (of type manager, agronomic, farm or program), including affiliations with a parent organization;
    • Member and role management: adding members, assigning roles (owner, administrator, member) and permission profiles;
    • Invitations: inviting new people to join an organization by email.

2.2 Hosting and data storage

AgPrecision is a web application hosted in the cloud. The data you enter on the Platform is stored on cloud servers (via Supabase) and not on your local devices.

2.3 Changes to the services

McGill may at any time modify these Terms of Use and the features of the Platform. In the event of a change to the Terms of Use that increases your obligations or reduces McGill’s obligations, we may send you a notice to that effect at the email address you provided, at least thirty (30) days before the change takes effect, informing you in particular of the upcoming changes, their effective date, and your option to refuse the change and stop using the Platform.

2.4 Artificial intelligence

Some features of the Platform may rely on artificial-intelligence services provided by a third party (Anthropic). These features are support tools and do not replace professional judgment. Content generated by the AI is provided for guidance only; you are responsible for verifying and validating it before any use in a professional context. McGill makes no warranty as to the accuracy, relevance or completeness of content generated by the AI. For more details on the data transmitted to the AI provider, see the Privacy Policy.


3. Accounts

3.1 Account creation

Access to the authenticated features of the Platform requires the creation of a user account. Account creation and sign-in are performed by email, using a confirmation link or a one-time code sent to your email address.

3.2 User responsibilities

You are responsible for:

  • The accuracy of the information provided when creating and updating your account, as well as the agronomic data you submit;
  • The confidentiality of access to your email inbox and your account;
  • Any activity occurring through your account.

You agree to provide and maintain a valid email address so that we can send you security notifications, billing notices and any important information related to the Platform.

3.3 Organizations

Each user account may be associated with one or more organizations. The organization is the entity within which data is shared and roles are assigned. Data is strictly partitioned by organization.


4. Pricing, payments and equipment rental

4.1 Free for Quebec

Access to the Platform’s features is free for agricultural producers and agronomists located in Quebec.

4.2 Fees for the rest of Canada

For users located elsewhere in Canada, access to the Platform is offered for a fee. The pricing and billing terms are those indicated at the time of registration or purchase and may be updated by McGill for future periods, in accordance with applicable law.

4.3 Equipment rental

Browsing soil analysis equipment is free. The rental of this equipment is subject to rental fees, the terms of which (duration, rate, any deposit, return conditions) are specified at the time of rental. You are responsible for the rented equipment for the duration of the rental and agree to return it in the condition in which you received it, subject to normal wear and tear. Any damage, loss or late return may result in additional charges.

4.4 Payment and billing

Payments (access fees outside Quebec and rental fees) are processed by Stripe. Unless otherwise indicated, payments are non-refundable and no refund or credit is granted for partial use, subject to the rights granted to you by law.

4.5 Taxes

The prices indicated do not include applicable taxes, unless otherwise stated.


5. Roles, permissions and sharing

5.1 Organizational roles

The Platform offers three roles within each organization:

  • Owner: all permissions over the organization;
  • Administrator (admin): management of the organization and its members;
  • Member: permissions according to the assigned permission profile.

5.2 Permission profiles

Administrators can assign permission profiles to members in order to define the scope of their access to the organization’s features.

5.3 Data partitioning and aggregated data

Each organization’s data is strictly partitioned. No data belonging to one organization may be viewed, shared or used by another organization. This access control is enforced at the database level (Row Level Security). Only aggregated and anonymized statistics (regional averages) may be shared more broadly on the Platform.


6. Intellectual property

6.1 McGill’s property

You acknowledge that the Platform, including its source code, interface, features, documentation, trademarks (“AgPrecision”), logos and trade names, is protected by Canadian and international laws on copyright, trademarks and other intellectual property rights, and belongs to McGill or its licensors.

No ownership or other implied right is conferred on you over these elements.

6.2 Ownership of your data

The information and data you enter on the Platform remain your property, or that of the organization for which they are entered. McGill claims no ownership right over this data and uses it only for the purposes described in the Privacy Policy, including the production of aggregated and anonymized statistics for research purposes.

6.3 Limited license

McGill grants you a personal, limited, revocable, non-transferable, non-assignable and non-exclusive license to access and use the Platform in accordance with these Terms of Use and applicable laws.


7. Prohibited uses

You agree not to, and not to allow any person to, directly or indirectly:

  • Reproduce, modify, distribute or commercially exploit all or part of the Platform or its content without McGill’s written authorization;
  • Reverse engineer, decompile, disassemble or attempt to discover the source code of the Platform;
  • Use the Platform in any way that could damage, disable, overload, harm, interfere with the security or proper functioning of the Platform;
  • Use mechanisms intended to circumvent technical protections, pricing conditions or access control mechanisms;
  • Use the Platform to store or transmit unlawful, defamatory content or content that infringes the rights of third parties;
  • Share your login credentials with unauthorized persons;
  • Attempt to access the data of other organizations.

8. Account closure and data deletion

8.1 Account closure

You may at any time request the closure of your account by contacting us at the details indicated in the “Contact us” section.

8.2 Deletion of personal data

In accordance with the Act respecting the protection of personal information in the private sector (CQLR, c. P-39.1) as amended by Law 25, and applicable Canadian federal laws, you may request the deletion of the personal information we hold about you by submitting a written request to the details indicated in the “Contact us” section.

The request must include:

  • Your full name;
  • The email address associated with your account;
  • A clear statement that you wish to have your personal data deleted.

We will acknowledge receipt of the request within a maximum of 30 days and proceed with the deletion in accordance with applicable legal requirements. Certain data may be retained temporarily to comply with legal or contractual obligations (billing, tax obligations).

8.3 Organization data

The deletion of an individual user account does not automatically result in the deletion of the organization’s data. Complete deletion of organizational data must be requested by an owner or administrator of the organization.


9. Protection of personal information

McGill collects, uses and discloses certain personal information in accordance with its Privacy Policy, accessible on the Platform. Please consult that Policy for full details on our personal information practices.


10. Other websites and third-party services

The Platform may include links to other websites or integrate services operated by third parties over which McGill has no control. McGill assumes no responsibility for the content or practices of these third-party sites or services.


11. Disclaimer and limitation of liability

McGill makes reasonable efforts to ensure that the Platform operates reliably, but provides the services only as support tools.

THE AGPRECISION PLATFORM IS PROVIDED TO YOU “AS IS” AND “AS AVAILABLE”, WITHOUT ANY WARRANTY OF ANY KIND WHATSOEVER.

McGILL CANNOT BE HELD LIABLE FOR THE ACCURACY, RELEVANCE OR COMPLETENESS OF THE ANALYSIS RESULTS OR REGIONAL AVERAGES PROVIDED BY THE PLATFORM. The user is solely responsible for the use they make of these results and remains responsible for their professional judgment.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, McGILL, THE MEMBERS OF ITS GROUP, ITS AGENTS, ITS LICENSORS, ITS SERVICE PROVIDERS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, RESEARCHERS OR EMPLOYEES CANNOT BE HELD LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, EXEMPLARY OR INCIDENTAL DAMAGE ARISING FROM THE USE OR INABILITY TO USE THE PLATFORM OR ITS CONTENT.


12. Indemnification

You agree at all times to indemnify, defend and hold harmless McGill, the members of its group, its agents, its licensors and its providers and their respective directors, officers, researchers or employees with respect to any action, proceeding, claim, damage, liability or expense (including reasonable attorneys’ fees) resulting from your use of the Platform in violation of these Terms of Use or from any negligence or fault on your part.


13. Interruption of access to the Platform

McGill reserves the right, at its sole discretion, to terminate, restrict or suspend access to all or part of the Platform, without notice and without incurring liability, for any reason whatsoever, including in the event of a breach of these Terms of Use. As the Platform is associated with a research project, its access may also be modified or interrupted at the end of the project.


14. Termination of the Terms of Use

If McGill or you terminate these Terms of Use, the provisions which, by their nature, must survive such termination will continue to apply, in particular those relating to intellectual property, ownership of data, limitation of liability, indemnification and data partitioning.


15. Governing law and dispute resolution

The Platform is controlled, operated and administered from the province of Quebec. These Terms of Use are governed by the laws of the province of Quebec and the federal laws of Canada applicable in Quebec. You accept the exclusive jurisdiction of the courts of Quebec for any dispute relating to these Terms of Use or to the use of the Platform.


16. Miscellaneous

Error or omission. McGill reserves the right, at its sole discretion, to correct any error or omission in any part of the Platform or its content, at any time and without notice.

No waiver. McGill’s failure to exercise a right under these Terms of Use shall not be construed as a waiver of that right.

Severability. If any provision of these Terms of Use is declared invalid, illegal or unenforceable, that provision will be applied to the extent permitted and the remaining provisions will remain in effect.

Changes. McGill may at any time revise and modify these Terms of Use by updating them on the Platform. If you do not consent to a change, you must stop using the Platform.

Assignment. McGill may assign its rights and obligations under these Terms of Use to a third party. You may not assign your rights and obligations without McGill’s prior written consent.
